Special Notice:

To better provide you with our services, please carefully read and fully understand the "Magicboat AI User Agreement" ("this Agreement" or "User Agreement") and the "Magicboat AI Privacy Policy" ("Privacy Policy") before you start using Magicboat AI products and services. Pay special attention to clauses concerning the exemption or limitation of liability, rights licensing and information usage, consent to open and use special individual services, and applicable law and dispute resolution. These clauses will be highlighted in bold and/or underlined for your attention, and you should read them carefully.

By clicking to confirm this Agreement, agreeing to it in any other way, or actually using Magicboat AI products and services, you indicate that you agree to, accept, and undertake to comply with this Agreement.

I. Scope of the Agreement

This Agreement is entered into between you (the "User") and Shanghai Jizhi Wujie Technology Co., Ltd. and its affiliates (collectively, "we" or "us") regarding your use of Magicboat AI products and services.
"Magicboat AI Product" (or "Magicboat AI", "this Product") refers to the Magicboat AI-related websites, clients, mobile applications (APPs), and mini-programs operated by us. "User" refers to any individual or organization that downloads, installs, registers, logs in to, or uses (collectively, "uses") this Product.
The services we provide to users through Magicboat AI under this Agreement ("this Service") include, but are not limited to, artificial intelligence ("AI") content generation services and other related services. The AI content generation service refers to the automatic feedback, output, and generation of text, images, audio, video, and other content ("Output Content") by Magicboat AI through the analysis and processing of various types of information content you submit, provide, upload, or input to Magicboat AI ("Input Content"). The current services provided by Magicboat AI are primarily focused on video content generation, and the specific service content is subject to what is actually provided by Magicboat AI.
For specific services, you may need to enter into specific service terms or product agreements (collectively, "Specific Product Agreements") with us before you can use them. Additionally, we may formulate and publish service rules, operational documents, instructions, standards, announcements, notices, etc., regarding this Service (collectively, "Service Rules"). Such Service Rules are subject to the content displayed on the relevant Magicboat AI pages at the time. This Agreement, the Privacy Policy, Specific Product Agreements, and the Service Rules together constitute the agreement between you and us regarding Magicboat AI products and their related services.
To use Magicboat AI, you must have the corresponding civil capacity. Minors under the age of 18 need to obtain the consent of their legal guardian before using this Product. As the guardian of a minor under 18, you should reasonably guide and restrain the minor's use of this Product, jointly create a healthy online environment, help the minor develop good online habits, and avoid excessive dependence on or addiction to this Product.
You may use Magicboat AI products and services only after you agree to and accept this Agreement and the Privacy Policy. If you do not agree with this Agreement, you should stop using Magicboat AI products and services. If you choose to use Magicboat AI products and services, you are deemed to have fully understood this Agreement and agree to be bound by it as a party to this Agreement. We have the right, in compliance with relevant laws and regulations, to modify this Agreement as needed (including formulating, revising, and publishing Service Rules from time to time). The updated agreement will be published through appropriate means such as the website or product pages. If you do not agree with the modified agreement, you should stop using this Service. If you choose to continue using this Service, you are deemed to have accepted the relevant modifications.

The Output Content provided by Magicboat AI products and services is generated by a technical model. We have made efforts to improve the model's algorithms, but due to the limitations of technological development, we cannot avoid imperfections in the applicability, accuracy, reliability, completeness, etc., of the Output Content (including but not limited to facts, opinions, and values contained therein). If you encounter content that you find unpleasant or that conflicts with laws and regulations, please provide feedback. We will process it immediately after verification. Thank you for your contribution to technological development. At the same time, please do not input, output, publish, copy, save, or otherwise disseminate any information that may be illegal, non-compliant, or otherwise harmful or erroneous within this Product. Otherwise, you will be solely held legally responsible by the relevant authorities, and the consequences will not be related to us. If you cannot accept the above risks and responsibilities, please do not use our services.
The Output Content is based on feedback from big data and technical models and is not advice given by professionals. For matters involving medical, legal, financial, accounting, investment, or other professional fields, please exercise your own caution and consult professionals as needed. The Output Content may not correspond to your actual situation or real life. Do not make decisions or take actions in real life based solely on the Output Content. If you or others suffer personal or property damage as a result, you understand that we have no intent or gross negligence in causing such danger and are not responsible for the consequences. You should bear the corresponding responsibility yourself. If you cannot exercise caution, please do not use our services.
We attach great importance to protecting intellectual property rights, personality rights, and other legal rights and interests, and we strive to avoid infringing on the legal rights of others. However, as a provider of basic AI services, we receive a large amount of Input Content and provide Output Content daily. If you believe that we, in providing the services, or others, in using the services, have infringed upon your legal rights, please contact us at feedback@huanzhou.art and provide corresponding proof of legal rights and evidence of infringement. We will handle it promptly and take necessary measures such as deleting or blocking the infringing content in accordance with current effective regulations.
For the same, similar, or different requests you make during the use of the service, we may provide the same Output Content and feedback results to different users. These results are not considered matters in which you have exclusive rights. You cannot claim exclusive rights (such as copyright) to the relevant content, meaning you cannot prevent other users from using the relevant content. All users may enjoy the rights to the Input and Output Content without infringing on the legal rights of third parties.
You need to use the relevant services and content within the reasonable limits and duty of care permitted by laws and regulations. Considering the process of improving laws and regulations and the development of judicial practice, if the content of this Agreement conflicts with relevant laws and regulations, the provisions of the relevant laws and regulations shall prevail.

II. Service Content

When you visit Magicboat AI, you can browse some information content anonymously, but you need to register and log in to an account to use the full services. We provide services to you through a MiniMax platform account ("Account"). You need to complete the registration process to obtain an account. If you already have a MiniMax platform account, you can use it to log in to this Product. The account is your valid credential for using this Service and is non-transferable, non-giftable, and non-inheritable.
The specific functions of this Product are provided by us based on the actual situation and are subject to what is displayed on the product pages. We would also like to remind you that the creation, modification, continuation, interruption, or termination of specific functions depends on various factors such as the cost of providing the service, technology, stability, force majeure, third-party services, etc. We may make real-time adjustments due to business development needs and have the right to adjust the services on our own without any liability. If you do not understand or agree with this, please do not use the corresponding services.
We will protect your personal information in accordance with the "Personal Information Protection Law" and other relevant laws and regulations. For the specific rules on how we collect and process your personal information, please refer to the Privacy Policy. We would like to remind you that when you use the service, apart from the personal information that must be collected for registration and other processes, we do not actively collect personally identifiable information to provide the services. When using certain functions, if you need to use some information to improve the service results, please do not input personally identifiable information, including your real name, ID number, etc., to avoid causing trouble in your life. You should understand and accept that our service can only treat the aforementioned personal information (if any) you input as general input content for processing and providing output content. We are not yet technically able to actively identify, clean, or delete the personal information you input. You expressly acknowledge and confirm that you will not make any form of infringement or breach of contract claims against us in this regard.
We grant you a personal, revocable, non-transferable, non-sublicensable, non-exclusive, and non-commercial right to legally use Magicboat AI. Unless otherwise specially agreed between you and us, you may not commercially reproduce, distribute, sell, or engage in other commercial activities with Magicboat AI products and services without our prior written authorization and permission. All other rights not expressly granted in this Agreement are reserved by us. You must obtain our separate written permission before exercising such rights. Our failure to exercise any of the foregoing rights does not constitute a waiver of such rights.
We have invested significant costs in the development and operation of Magicboat AI. The services we provide to you may include free services and paid services, as displayed on the product pages. You can choose to use free or paid services as needed. If you subscribe to and use paid services, you should carefully read, understand, agree to, and comply with the corresponding Specific Product Agreements. We may adjust the charging standards and methods for services based on business development and actual conditions, and we may also start charging for some free services. We will notify or announce this through the product pages. You acknowledge and confirm that our provision of free services should not be regarded as a waiver of the right to charge in the future.
You may use "Shells" (i.e., your points in this Product) to redeem specific services or features of this Product, and you should comply with the following rules:
1. (1) We may adjust the services, features, prices, and user rights of Shells from time to time. The specific methods, prices, and rules for obtaining and purchasing Shells are subject to what is displayed on the relevant product pages.
2. (2) For the avoidance of doubt, Shells can only be used to redeem specific services or features of Magicboat AI. The redeemed services or features are network technology and related services provided by us through Magicboat AI, not online payment services. Shells are not any form of virtual currency and have no monetary value. You may not obtain or use Shells for profit, trading, transfer, sale, or other non-personal purposes.
If you access our services through a third party, or use services, applications, products, software, or services provided by a third party (collectively, "Third-Party Services") while using this Service, in addition to complying with Magicboat AI's relevant agreements or rules, you may also need to comply with the third party's agreements or rules. Please carefully read the relevant service agreements, privacy policies, and service rules of third parties when using Third-Party Services. Any disputes, losses, or damages arising from Third-Party Services shall be resolved between you and the third party. We do not make any guarantees, warranties, or assume any liability to you or any third party in this regard. Please consider the related obligations and risks yourself before use.
We may provide links to other internet websites, applications, or resources ("Third-Party Links") in this Service. We do not provide any guarantees or warranties for any content, data, information, or materials existing on or originating from Third-Party Links and do not assume any responsibility.
You agree to receive marketing information and other commercial information sent by us through announcements, emails, SMS messages, account notifications, and communication tools registered in your account. If you do not wish to receive such information, you have the right to refuse or turn off this service through your terminal, client, etc.

III. Service Usage Rules

Any content input, output, published, or disseminated by users in or through this Service does not reflect or represent, and shall not be deemed to reflect or represent, our views, positions, or policies. We assume no responsibility for this.
Users must not use false identity information when registering for this Product. You understand and agree that you are obligated to maintain the authenticity and validity of the information you provide and to update it in a timely manner. Where the law explicitly requires us as a service provider to verify user information, we will verify your information in a timely and lawful manner, and you should cooperate by providing the latest, true, complete, and valid information. Users should properly keep their account information. Losses caused by the user's disclosure of information shall be borne by the user. If a user discovers that their account has been used by others without authorization or that there are other unauthorized uses of their account, they should immediately notify us in an effective manner. The user understands and agrees that we have the right to take corresponding actions or measures, including but not limited to freezing, banning, or closing the account, restricting account functions, or suspending or terminating services, based on the user's notification, request, or our judgment. We are not liable for losses resulting from such actions, except where explicitly provided by law.
Users must not use Magicboat AI products and services for the following behaviors, purposes, or uses (collectively, "Prohibited Behaviors"). Otherwise, we have the right to take measures such as freezing, banning, or closing the account, restricting account functions, or suspending or terminating services to regulate Prohibited Behaviors and maintain a healthy product ecosystem:
1. (1) Violating relevant laws and regulations, including but not limited to:
2. Opposing the basic principles established by the Constitution.
3. Endangering national security, leaking state secrets, subverting state power, or undermining national unity.
4. Harming national honor and interests.
5. Inciting ethnic hatred or discrimination, or undermining ethnic unity.
6. Insulting or abusing the image of heroes and martyrs, denying their deeds, or glorifying acts of aggressive warfare.
7. Undermining national religious policies, promoting cults and feudal superstitions.
8. Spreading rumors, disturbing social order, or undermining social stability.
9. Promoting obscenity, pornography, gambling, violence, murder, terrorism, or inciting crime.
10. Inciting illegal assemblies, associations, processions, demonstrations, or gathering crowds to disturb social order.
11. Defaming others, disclosing others' privacy, and infringing on the legal rights of others.
12. Containing other content prohibited by laws and administrative regulations.
13. (2) Unfriendly dialogue, including but not limited to:
14. Personal attacks and verbal abuse of others.
15. Making statements that curse, discriminate against, or show disregard for the dignity of life towards the following groups: nationality, region, gender, gender identity, sexual orientation, race, disease, religion, disabled groups, etc.
16. Cursing, intimidating, or threatening others.
17. Belittling or disrespecting other users' personal morals, viewpoints, qualities, abilities, etc.
18. Sarcastic criticism or passive-aggressive expressions towards other users.
19. Directly making derogatory comments on content created by other users.
20. Using vulgar language towards other users that causes offense.
21. Making biased statements against the following groups: nationality, region, gender, gender identity, sexual orientation, race, disease, religion, disabled groups, etc.
22. (3) Malicious speech, including but not limited to:
23. Posting meaningless gibberish, such as characters or numbers that are difficult to understand and affect the reading experience.
24. Maliciously evasive behavior, including but not limited to using variations, homophones, etc., to circumvent product or service detection to upload statements that violate (1) and (2) above.
25. (4) Endangering network security and data security, including but not limited to:
26. Illegally intruding into networks, interfering with normal network functions, stealing network data, and other activities that endanger network security.
27. Providing programs or tools specifically designed for activities that endanger network security, such as intruding into networks, interfering with normal network functions and protective measures, or stealing network data.
28. Knowingly providing technical support, advertising, payment settlement, or other assistance to others engaged in activities that endanger network security.
29. Using unlicensed data or accessing unlicensed servers/accounts.
30. Entering public computer networks or others' computer systems without permission and deleting, modifying, or adding stored information.
31. Attempting to probe, scan, or test the vulnerabilities of this Product's system or network, or other actions that undermine network security, without permission.
32. Attempting to interfere with or disrupt the normal operation of this Product, intentionally spreading malicious programs or viruses, or other actions that disrupt normal network information services.
33. Forging TCP/IP packet headers or parts of headers.
34. Reverse engineering, reverse assembling, reverse compiling, translating, or otherwise attempting to discover the source code, models, algorithms, and system source code or underlying components of this Product and its services.
35. Maliciously registering accounts for this Product, including but not limited to frequent or bulk account registrations.
36. Using any plugins, external tools, systems, or third-party tools not authorized or permitted by us to interfere with, disrupt, modify, or otherwise affect the normal operation of the products and services.
37. (5) Other behaviors that violate laws and regulations, infringe on the legal rights of other users, interfere with the normal operation of the product or service, or are not expressly authorized by us.
38. (6) Other behaviors prohibited by the "Community Guidelines".
Users are responsible for properly safeguarding their registered account information and account security. Any losses resulting from the user's failure to do so, such as account theft or loss of account information, shall be borne by the user. Users are legally responsible for all actions under their registered account. Users agree and promise not to use other users' accounts under any circumstances and not to lend, provide, transfer, or otherwise permit others to use their own account. If a user suspects or becomes aware that their account is being used by others, they should notify us immediately. If we discover or have reasonable grounds to believe that the user is not the initial registrant of the account or that there may be abnormal circumstances or risks, we have the right, in accordance with relevant laws and regulations, to take measures such as re-verification, freezing, banning, or closing the account, restricting account functions, IP restriction or banning, or suspending or terminating services to ensure account security.
Without our written permission, no one may, by themselves or by authorizing, permitting, or assisting others, alter, copy, disseminate, collect, edit, develop, vertically search, mirror, or reverse engineer (such as decompiling the source code of systems and algorithms) the information content of Magicboat AI products and services (including but not limited to images, text, audio, video, code, electronic information, etc.) in any form. This includes using Magicboat AI to develop foundational models or for other behaviors that compete with us, scraping our data through our APP, API, or any other channel, or abusing our services by selling them via API keys, etc., or any other behavior that interferes with the normal operation of Magicboat AI.
To ensure academic integrity, educational fairness, and to avoid any controversial behavior arising from the use of our services, please do not directly use the Output Content for any purpose published in your name or on behalf of a party you represent. When using it, please disclose and explain how you used our services and demonstrate your own creativity as much as possible. Otherwise, any disputes or risks arising therefrom shall be borne by you.
You must not use this Service to create, generate, publish, or disseminate rumors or false information. When you publish or disseminate Output Content, or other text, images, audio, video, and other content created using new technologies and applications such as deep learning, virtual reality, and generative AI, you should provide clear identification, explanation, or a notice to avoid causing misunderstanding, confusion, or misidentification. At the same time, without our express written consent, you may not obscure, alter, tamper with, or delete any identification or watermarks we have placed on the information content.
If you need to terminate the use of your Magicboat AI account service, you may apply to delete your Magicboat AI account if the following conditions are met:

(1) You can only apply to delete your own account and must follow the deletion process of Magicboat AI;

(2) You are still responsible for your actions during the period you used the Magicboat AI service before the account was deleted;

(3) After successful deletion, the Magicboat AI account records, functions, etc., cannot be restored or provided.

If you need to delete your Magicboat AI account, please follow the instructions on the relevant pages of this Product.

IV. Intellectual Property

The intellectual property rights and related interests in the proprietary content provided by Magicboat AI (including but not limited to software, technology, programs, code, user interfaces, web pages, text, images, graphics, audio, video, charts, layout design, trademarks, electronic documents, etc.) belong to us. Without our prior written permission, no one may use (including but not limited to monitoring, copying, disseminating, displaying, mirroring, uploading, or downloading) the proprietary content in Magicboat AI products and services through any robot, crawler, or other program or device.
You understand, acknowledge, and promise that without our prior written permission, you shall not use any trademarks, logos, trade names, domain names, website names, company logos (LOGO), URLs, or other distinctive brand features of ours (collectively, "Marks"), including but not limited to "Magicboat AI". You shall not display, use, or apply for trademark registration or domain name registration for such Marks, either alone or in combination with other elements. You shall not engage in any behavior that expressly or implicitly suggests to others that you have the right to display, use, or otherwise handle these Marks. If your violation of this Agreement in using the above Marks causes losses to us or others, you shall bear all legal responsibilities.
You understand, acknowledge, and promise that the Input Content you use in Magicboat AI (including but not limited to text, images, audio, video, and other forms of content, and all their components such as text, music, sound, graphics, visual design, works, etc.) is either your original creation, for which you own full rights, or for which you have obtained full, legal, and valid authorization (including the right to sublicense and re-sublicense). The intellectual property rights, ownership, personality rights, data rights, and/or other related rights of the Input Content are legally owned by you and/or the third party that authorized you, and do not infringe on anyone's intellectual property rights, personality rights, data rights, trade secrets, or other legal rights. Otherwise, you shall bear all legal responsibilities arising therefrom, including but not limited to infringement liability. You shall be responsible for and resolve any related disputes, and you shall compensate us for all direct and indirect losses suffered as a result (including but not limited to economic losses, reputational damage, legal expenses, litigation fees, attorney fees, etc.).
The rights you and/or the original rights holder have in the Input Content will not change due to the use of this Service. Between you and us, to the extent permitted by applicable law, the intellectual property rights and related interests in the Output Content belong to you. To enhance your user experience with this Service and to better share and promote your content, for the Input Content and any Output Content in which you hold intellectual property rights, you agree to grant us and/or our affiliates a free, non-personally identifiable, sublicensable and re-sublicensable, non-exclusive, perpetual, transferable, worldwide right to use such content within the scope permitted by law, for purposes such as improving and optimizing our products and services, and for brand promotion and publicity.
To better share and promote your works, for all forms of content you upload and publish through Magicboat AI, such as text, images, audio, video, and all their components including music, sound, dialogue, visual design, etc., you grant us a free, worldwide, non-exclusive, sublicensable and re-sublicensable right, including the right to copy, translate, compile, disseminate via information networks, adapt, and create derivative works, as well as the right to perform and display. This includes use on Magicboat AI or any other websites, applications, or smart terminal devices operated by us. You agree that we have the right to use, by ourselves or by licensing third parties, such content in any promotion, advertising, marketing, and/or research related to the above content or us, and may also develop all or part of such content in other ways.
To provide you with better products and services, we invest significant resources and efforts. At the same time, to better protect your rights, you confirm that we have the right, based on the above authorization, to defend the rights of the content you upload and publish and for which you hold intellectual property rights, either by ourselves or by entrusting a third party. The forms of rights defense include but are not limited to: monitoring infringing acts, sending cease and desist letters, filing lawsuits or arbitration, mediation, settlement, etc. We have the right to make decisions on rights defense matters and implement them independently.
To protect your personal information, we will not require you to authorize us to use any content that is your personal information for other purposes. For data and information you provide to us with your authorized consent, we will do our best to protect data security and personal information security. However, please be sure not to provide, input, upload, or publish content related to your personal identity during the use of the service to avoid inconvenience.
You understand, acknowledge, and agree that to comply with relevant laws and regulations and to clarify the ownership or usage restrictions of the Output Content, we have the right to add identifiers or watermarks to the Output Content. When you browse, export, or download the Output Content, we have the right to inform you again in a prominent manner, such as through a prompt, on how to use the Output Content and its restrictions. When you use the Output Content, you should provide clear identification and a notice according to the actual usage scenario, stating that it is AI-generated content, to avoid causing misunderstanding, confusion, or misidentification. Any consequences and liabilities arising from your failure to provide necessary identification and notices shall be borne by you independently.
We provide technical support for the development and operation of Magicboat AI and have all rights permitted by law to all technologies, materials, and their intellectual property, as well as all data and information generated during the development and operation of Magicboat AI.

V. Legal Liability

If we discover or receive reports or complaints from others that a user has violated this Agreement, we have the right to review, block, delete, disconnect, or take other necessary measures regarding the relevant content (including but not limited to user data, uploaded information, input or output content) at any time without notice. Depending on the severity of the violation, we may impose penalties or dispositions on the violating account, including but not limited to warnings, account freezing, banning or closing, device banning, function banning, IP restriction or banning, or suspending or terminating services.
The user understands and agrees that we have the right to impose penalties or dispositions for violations of relevant laws, regulations, or this Agreement based on our reasonable judgment, to take appropriate legal action against any user who violates the law, and to preserve relevant information and report it to the relevant authorities in accordance with the law. We are not liable for any legal responsibility arising therefrom. For your violation of this Agreement or other service terms, we have the right to independently judge and take measures such as pre-warning, refusing to publish, immediately stopping the transmission of information, deleting content or comments, restricting part or all of the account's functions, until terminating the service or permanently closing the account. We are not responsible for any consequences arising from this, such as your inability to use the account and related services normally or to access your assets or other rights in your account. We have the right to announce the results of the processing and to decide whether to restore the use of the relevant account based on the actual situation. For suspected violations of laws and regulations and suspected criminal acts, we will keep relevant records and have the right to report to the relevant authorities, cooperate with their investigations, and report to the public security organs. We have the right not to restore deleted content.
The user understands and agrees that any consequences arising from the user's violation of relevant laws, regulations, or this Agreement shall be borne independently by the user, who shall be responsible for compensating for any losses, and we shall not be involved. If our or others' rights are infringed, the user must bear all responsibilities and compensate for all losses (including but not limited to economic losses, reputational damage, legal expenses, litigation fees, attorney fees, etc.).

VI. Disclaimer

You understand, acknowledge, and agree that for the needs of overall service operation and platform operational security, we have the right to decide on the setting and scope of services/functions and to modify, interrupt, suspend, or terminate Magicboat AI and related services based on specific circumstances.
You understand, acknowledge, and agree that we need to perform regular or irregular maintenance or repairs on Magicboat AI and related equipment. If service interruptions occur due to such circumstances, we are not liable.
You understand and agree that some or all of the content in Magicboat AI and its related services is automatically generated based on existing algorithms and other technical means. We will do our best to provide you with services, but due to the inherent limitations of technology and the fact that software and services are affected or interfered with by various factors (force majeure, government actions, pandemic control, laws and regulations, technical risks, third-party service defects, etc.), Magicboat AI will continuously improve and explore optimization solutions, but does not guarantee (including but not limited to):

(1) Making any express or implied warranties (of applicability, accuracy, reliability, completeness, ownership, non-infringement, and any other possibilities within the scope permitted by laws and regulations);

(2) That the products and services are suitable for your usage requirements or needs, or will completely avoid causing you discomfort or other harmful elements;

(3) That the products and services will be free from any interference, will not be interrupted or have errors, will be timely, secure, reliable, and will meet or conform to your expectations, or that you can use the products and services at any time or place of your choosing;

(4) That any errors or defects will be corrected;

(5) That the Output Content will fully satisfy your moral concepts, religious beliefs, etc.

We remind you again that due to the objective nature of technology, the software, services, etc., of Magicboat AI may inevitably contain offensive language or related output content. We have no subjective intention to offend or infringe.

If you cannot understand all the above situations and exempt us from the relevant responsibilities, and you should bear the corresponding risks for using Magicboat AI and its services, please do not register for and use Magicboat AI and its services.

If there is any network information, account passwords, advertisements, or promotional information involving suspected loans, investment and financing, wealth management, or other property-related matters, please treat it with caution and make your own judgment. We are not liable for any direct, indirect, joint, or punitive damages for any loss of profits, business reputation, data, or other tangible or intangible losses you may suffer as a result, unless otherwise explicitly provided by law.
We have the right to deal with relevant illegal and non-compliant content. This right does not constitute our obligation or promise, and we cannot guarantee the timely discovery of illegal acts or corresponding processing.
Under no circumstances shall we be liable for any indirect, consequential, punitive, incidental, special, or criminal damages (including but not limited to loss of profits or expected revenue from your use of Magicboat AI products and services). Except as otherwise explicitly provided by law, our total liability to you, for any reason or in any manner of action, shall not exceed the total fees you have paid to us (if any) during your use of Magicboat AI products and services.
This Agreement is intended to ensure compliance with national laws and regulations, maintain public order and good customs, and protect legal rights. We will do our best to judge relevant matters in accordance with relevant laws and regulations, but due to our own limitations, we do not guarantee that our judgment on relevant matters is completely consistent with that of judicial and administrative organs. You understand, acknowledge, and agree to bear the consequences arising therefrom.

VII. Miscellaneous

You acknowledge and confirm that the place of signing this Agreement is Xuhui District, Shanghai. This Agreement is governed by the laws of the People's Republic of China (for the purpose of this Agreement, excluding Hong Kong, Macau, and Taiwan regions) (excluding conflict of laws rules). All disputes arising from or related to this Agreement shall be resolved through friendly negotiation. If negotiation fails, the dispute shall be resolved by filing a lawsuit in a people's court with jurisdiction in the place where the contract was signed.
If any provision of this Agreement is wholly or partially invalid or unenforceable for any reason, the remaining provisions of this Agreement shall remain valid and binding.
The headings in this Agreement are for convenience of reading only and do not affect the meaning or interpretation of any provision of this Agreement.
You and we are independent entities. Under no circumstances does this Agreement constitute any form of express or implied guarantee or warranty from us to you, nor does it constitute an agency, partnership, joint venture, or employment relationship between the parties.
To provide you with better services or due to changes in national laws and regulations, policies, technical conditions, product functions, etc., we will revise or update this Agreement from time to time ("Update"). The updated Agreement will take effect once it is published and will form part of this Agreement. After this Agreement is updated, we will publish the updated version and remind you in an appropriate manner, such as through notifications or announcements, so that you can stay informed of the latest version of this Agreement. You can also view the latest version of the Agreement on the relevant pages of Magicboat AI. If you object to the content of the updated Agreement, please immediately stop logging in to or using Magicboat AI products and services. If you continue to log in to or use Magicboat AI products and services, you are deemed to have acknowledged, agreed to, and accepted the content of the updated Agreement.

(1) We call on users to abide by the Constitution, laws, and administrative regulations, the socialist system, national interests, citizens' legal rights, public order, and moral customs. We adhere to the correct political direction, public opinion guidance, and value orientation, promote socialist core values, and foster a positive, healthy, and uplifting online culture.

(2) We advocate that users respect intellectual property rights (please only publish and upload content that you have created yourself or for which you have obtained legal authorization and permission) and the legal rights of others (such as reputation, portrait rights, and privacy), and use the platform within the scope permitted by laws, regulations, and public order and good customs.

(3) We encourage users to use the results generated by the platform's tools to spread positive energy, care for minors, the elderly, and other groups, respect gender equality, and not attack, curse, insult, defame, or discriminate against others, or infringe on the legal rights of others.

Dear platform user, you agree and promise not to upload, create, copy, publish, or disseminate the following information:

(1) Content that opposes the basic principles established by the Constitution;

(2) Content that endangers national security or political security, leaks state secrets, subverts state power, overthrows the socialist system, incites national division, or undermines national unity;

(3) Content that harms national honor and interests, or damages the national image;

(4) Content that incites ethnic hatred or discrimination, or undermines ethnic unity;

(5) Content that incites illegal assemblies, associations, processions, demonstrations, or gathering crowds to disturb social order, or undermines social stability and public safety;

(6) Content that undermines (violates) national religious policies, promotes cults and feudal superstitions, or is inconsistent with scientific principles;

(7) Content that promotes violence, terrorism, or extremism, or incites violent, terrorist, or extremist activities;

(8) Content that distorts, defames, desecrates, or denies the deeds and spirit of heroes and martyrs, or infringes on the name, portrait, reputation, or honor of heroes and martyrs by insult, defamation, or other means;

(9) Content that incites regional discrimination or hatred;

(10) Content that creates, publishes, or disseminates rumors or false information, disturbs economic and social order, or undermines social stability;

(11) Content that creates, publishes, or disseminates obscenity, pornography, gambling, violence, murder, terrorism, or incites illegal acts or crimes;

(12) Content that endangers network security or uses the network to engage in activities that harm national security, honor, and interests;

(13) Content that infringes on the reputation rights (such as insulting or defaming others), portrait rights, privacy rights, intellectual property rights (copyright, trademark rights, patent rights, etc.), and other legal rights (trade names, logos, well-known trade dress, etc.) of others, as prohibited by laws and regulations;

1. Content that involves violent intimidation, threats, or doxxing of others;

2. Content that involves others' privacy, personal information, or data;

(14) Content that includes terror, bloody violence, high-risk activities, or endangers the physical or mental health of the performer or others, including but not limited to the following situations:

1. Any content of violence and/or self-harm;

2. Any content that threatens life and health, or uses dangerous instruments such as knives to perform acts that endanger one's own or others' personal and/or property rights;

3. Content that encourages or induces others to participate in dangerous or illegal activities that may cause personal injury or death.

(15) Content that infringes on the legal rights of minors or harms their physical and mental health;
